Service Terms and Conditions for ClickBIT


1. Introduction

These Service Terms and Conditions (“Terms”) govern the provision of IT and digital services by Clickbit Pty Ltd (“Clickbit,” “we,” “our,” or “us”) to you (“Client” or “you”). By engaging our services, you agree to these Terms.

2. Scope of Services

We offer:

  • Web Development
  • UI/UX Design
  • IT Infrastructure Setup (NAS, PC & monitor)
  • Digital Marketing
  • White-label Hosting & Domain Registration
  • Graphic Design
  • Server & Network Setup

Each engagement’s scope, timeline & deliverables will be detailed in a Project Proposal or Service Agreement, which forms part of these Terms.

3. Service Agreement

Before work begins you’ll receive a written Service Agreement detailing:

  • Services to be provided
  • Project milestones & timelines
  • Payment terms & schedule
  • Any project-specific requirements

You must sign that Agreement to confirm acceptance and commence the project.

4. Payment Terms

  • Fees: Set out in your Service Agreement.
  • Schedule: Typically 50% deposit, 25% at key milestones, 25% on final delivery.
  • Invoices: Issued per the Agreement; payable within 7 days of receipt.
  • Late Payments: 2% per month on the outstanding balance. We may suspend or terminate services for overdue amounts.

5. Client Responsibilities

You agree to:

  • Provide accurate, complete & timely information.
  • Give necessary access to systems or resources.
  • Respond promptly to communications.
  • Review & approve deliverables within agreed timeframes.

Delays or missed approvals may incur extra fees or pause the project.

6. Changes & Modifications

Any changes must use our Change Request Form, detailing the change, reasons, and impact on timeline/budget. No work begins until approved in writing. Additional fees apply at our standard hourly rates, tracked per team member’s time.

7. Intellectual Property

  • On full payment, you own final deliverables (sites, code, graphics, etc.).
  • We may feature work in our portfolio or case studies.
  • Third-party components remain under their original licenses.

8. Confidentiality

Both parties will keep all proprietary or sensitive information confidential, except as required by law or with prior written consent.

9. Warranties & Disclaimers

  • We warrant professional, workmanlike service but do not guarantee error-free operation.
  • Our liability is capped at the total fees paid, excluding indirect or consequential losses.
  • Third-party software/services are your responsibility to license and pay.

10. Termination

  • By Client: 15 days’ written notice; pay for all work done to the termination date.
  • By Clickbit: 15 days’ notice for non-payment or breach. Refunds handled case-by-case; prepaid services are prorated less setup/work performed.

11. Maintenance & Support

  • Warranty Period: Up to 30 days post-launch for minor fixes at no extra cost.
  • Ongoing Support: Under a separate maintenance agreement at subscription or hourly rates.

12. Force Majeure

We’re not liable for delays beyond our control (acts of God, war, strikes, government orders, tech failures, etc.).

13. Governing Law & Dispute Resolution

  • Governing Law: NSW, Australia.
  • Jurisdiction: Courts of Sydney, NSW.
  • Disputes: First mediation/arbitration in Sydney (shared costs), then courts if unresolved.

14. Amendments

Any changes to these Terms must be in writing and signed by both parties. We’ll notify you at least 30 days before any update takes effect.
